13         Amendment (with title amendment) 

14         On page 6, between lines 24 and 25,

16  insert:

17         Section 6.  Section 608.406, Florida Statutes, is

18  amended to read:

19         608.406  Limited liability company name.--

20         (1)  The words "limited liability company" or "limited

21  company," or their abbreviation "L.L.C." or "L.C.," shall be

22  the last words of the name of every limited liability company

23  formed under the provisions of this chapter.

24         (2)  The limited liability name may not contain

25  language stating or implying that the limited liability

26  company is organized for a purpose other than that permitted

27  in this act and its articles of organization.

28         (3)  The limited liability name may not contain

29  language stating or implying that the limited liability

30  company is connected with a state or federal government agency

31  or a corporation chartered under the laws of the United

 2         (4)  The limited liability name must be distinguishable

 3  upon the records of the Division of Corporations of the

 4  Department of State from all other entities or filings, except

 5  fictitious name registrations pursuant to s. 865.09, organized

 6  or registered under the laws of this state that are on file

 7  with the division.

 8         (5)  Omission of the words "limited liability company"

 9  or "limited company," or their abbreviation "L.L.C. or "L.C.,"

10  in the use of the name of the limited liability company shall

11  render any person who participates in the omission, or

12  knowingly acquiesces in it, liable for any indebtedness,

13  damage, or liability occasioned by the omission.
