21 Section 2. The Panama City-Bay County Airport and
22 Industrial District is re-created and reenacted to read:

24 created and established as a political subdivision of the
25 state, an airport district in Bay County to be known as the
26 "Panama City-Bay County Airport and Industrial District" an

22 Section 2. Definitions.--As used in this act,
23 the following words and terms shall have the following
24 meanings:
25 (1) "Airport authority" or "authority" means the
26 Panama City-Bay County Airport and Industrial District
27 hereinafter created.
28 (2) "City" means the City of Panama City.
29 (3) "County" means the County of Bay.
30 (4) "County commissioners" means the Board of County
31 Commissioners, the governing body of the County of Bay.

1 (5) "Aviation facility" means all land, improved or
2 unimproved, hangars, buildings, passenger terminals, shops,
3 restaurants, hotels, office buildings, and any and all other
4 facilities including property rights, easements, and
5 franchises the authority deems necessary and convenient.
6 (6) "Airport project" or "project" means any one or
7 any combination of two or more of the following when
8 undertaken by or owned, controlled, or operated by the airport
9 authority: airports, airport facilities, landing fields,
10 hangars, shops, terminals, buildings, oil tanks, pipe lines,
11 industrial parks, warehouses, and terminal railway facilities
12 including rolling stock, belt line railroad, bridges,
13 causeways, tunnels, facilities for the loading, unloading and
14 handling of passengers, mail express, freight and other cargo,
15 hotels, office buildings, industrial facilities, and any and
16 all other facilities, including all property rights,
17 easements, and franchises relating to any such project or
18 projects which, by resolution, the authority may deem
19 necessary and convenient.
20 (7) "Improvements" means such replacements, repairs,
21 extensions, additions, enlargements, and betterments of and to
22 a project as are deemed necessary to place such project in
23 proper condition for the safe, efficient, and economic
24 operation thereof, when such project shall be undertaken by or
25 owned, controlled, or operated by the airport authority.
26 (8) "Cost," as applied to improvements, means the cost
27 of acquiring or constructing improvements as hereinabove
28 defined and shall include the cost of all labor and materials,
29 of all machinery and equipment, cost of engineering and legal
30 expense, plans specifications, financing charges, and such
31 other expenses as may be necessary or incident to such

1 acquisition or construction.
2 (9) "Cost," as applied to a project acquired,
3 constructed, extended, or enlarged, includes the purchase
4 price of any project acquired, the cost of such construction,
5 extension, or enlargement, the cost of improvements, the cost
6 of all lands, properties, rights, easements, and franchises
7 acquired, the cost of all machinery and equipment, the cost of
8 engineering and legal services, all investigations and audits,
9 financing charges and all other expenses necessary or incident
10 to determining the practicability or feasibility of such
11 acquisition or construction, administrative expense, and such
12 other expenses as may be necessary or incident to the
13 financing herein authorized and to the construction or
14 acquisition of a project and the placing of the same in
15 operation. Any obligation or expense incurred by the airport
16 authority prior to the issuance of bonds or revenue bonds
17 under the provisions of this act for engineering studies and
18 for estimates of cost and of revenues and for other technical,
19 financial, or legal services in connection with the
20 acquisition or construction of any project may be regarded as
21 part of the cost of such project.
22 (10) "Bonds" means revenue bonds, refunding bonds, or
23 other evidence of indebtedness or obligations in either
24 temporary or definitive form, which the authority is
25 authorized to issue pursuant to this act.
26 (11) "Revenue bonds" means revenue certificates or
27 other obligations and the interest thereon which are payable
28 from revenues derived from the operation of the facilities of
29 the airport authority or from other sources than ad valorem
30 taxes.
31 (12) "Facility" or "facilities" means and includes all

1 projects and improvements of the airport authority.
2 Section 3. Governing Board.--The Board of Directors, a
3 body corporate and politic, shall be the governing board of
4 the Panama City-Bay County Airport and Industrial District.
5 (1) The board shall consist of five persons who are
6 citizens and residents of Bay County. Two of said five members
7 shall be appointed by the City Commission of the City of
8 Panama City. Two of said five members shall be appointed by
9 the Board of County Commissioners of Bay County. Said four
10 members so appointed shall select the fifth member. Upon the
11 expiration of the several terms of the members as herein
12 provided, the Board of County Commissioners of Bay County and
13 the City Commission of the City of Panama City shall appoint
14 successors for the members whose terms are expiring each to
15 hold office for a term of 2 years. The fifth member of said
16 authority shall always hold office for a term of 2 years and
17 shall be selected by the four appointed members as aforesaid.
18 (2) Three members of the board shall constitute a
19 quorum. The vote of three members shall be necessary for any
20 action taken by the board involving the incurring of any
21 indebtedness or expenditures of authority funds or moneys.
22 (3) The members of the board shall not receive
23 compensation for their services, but shall be reimbursed for
24 travel and per diem the same as that provided for county
25 officials; however, members of the board must submit a signed
26 statement requesting the allowable expenses within 6 months
27 from the date of the incurring of such expenses.
28 (4) An airport manager may be employed by the board,
29 who shall be a full-time employee and shall devote his or her
30 time and attention to the discharge of his or her duties. The
31 airport manager shall receive such salary as the board may

2 (5) The board shall have power to employ such persons
3 in addition to the airport manager as the business of the
4 airport authority may require.
5 (6) The board shall have the power to establish an
6 independent Airport Police Department with full police powers.
7 (7) The board shall have the power to contract with
8 similar authorities in carrying out common projects and the
9 purposes of this act.
10 Section 4. Purposes of airport authority.--The airport
11 authority is created for the purpose of acquiring,
12 constructing, improving, financing, operating, and maintaining
13 airport projects and any other development of land owned or
14 leased by the authority and necessary to the economic welfare
15 of the inhabitants of the authority and which will promote the
16 economic, commercial, and industrial development of the
17 authority. The exercise by the authority of the powers
18 conferred by this act shall be deemed to be and shall
19 constitute a public purpose.
20 Section 5. Powers of the Board of Directors.--The
21 Board of Directors shall have all of the power necessary and
22 proper to carry out the purposes and intent of this act,
23 including the power to sue and be sued, under the name of the
24 "Panama City-Bay County Airport and Industrial District," to
25 contract and be contracted with, to adopt and use a common
26 seal and to alter same; to acquire, purchase, hold, lease,
27 mortgage, and convey such real and personal property as the
28 board may deem proper or expedient to carry out the purposes
29 of this act; to employ such persons and agents as the board
30 may deem advisable and to fix the compensation thereof and to
31 remove any appointees or employees, agents, or servants; to

1 ensure the improvements, fixtures, and equipment against loss
2 by fire, windstorm, or other coverage in such amounts as may
3 be determined reasonable and proper; to borrow and issue
4 evidence of indebtedness of the authority to carry out the
5 provisions of this act in the manner herein provided. The
6 board shall also have the right and power:
7 (1) Of eminent domain over real and personal property
8 and to maintain eminent domain proceedings in the form and in
9 the manner as prescribed by the general laws of the state,
10 provided that the power of eminent domain shall be exercised
11 only for the purpose of providing for aviation facilities.
12 (2) To acquire by purchase, condemnation through power
13 of eminent domain, gift, grant, franchise or lease, property,
14 either real or personal; however, the power of eminent domain
15 shall be exercised only for the purpose of providing for
16 aviation facilities.
17 (3) To grant easements of right-of-way over or through
18 any lands owned by the airport authority.
19 (4) To construct, acquire, establish, extend, enlarge,
20 improve, reconstruct, maintain, equip, repair, and operate any
21 project, as hereinabove defined, within the boundaries of the
22 airport authority.
23 (5) To borrow money and to incur indebtedness, to
24 issue such bonds for and on behalf of the airport authority as
25 the board may from time to time determine; but in no case
26 shall the indebtedness of the authority for bonds issued be
27 considered a debt of the city or the county.
28 (6) To apply to the proper authorities of the United
29 States for the right to establish, operate, and maintain
30 foreign and domestic trade zones within the limits of the
31 airport authority and to establish, operate, and maintain such

1 foreign and domestic trade zones.
2 (7) To fix and revise from time to time and to collect
3 rates, fees, rentals and other charges for the use of or for
4 the services of any facility, insofar as it may be permissible
5 for the board to do so under the State Constitution and the
6 Constitution and laws of the United States.
7 (8) To make rules and regulations for its own
8 government and to hold regular meetings at least once a month,
9 said meetings to be open to the public.
10 (9) To operate, manage, and control all projects as
11 hereinabove defined, hereafter acquired or constructed under
12 the provisions of this act.
13 (10) To enter into joint agreements and arrangements
14 with steamship lines, railroads, airlines, or other
15 transportation lines or any common carrier as the board shall
16 deem to its advantage to do so.
17 (11) To make and enter into all contracts and
18 agreements necessary or incidental to the performance of its
19 duties and the execution of its powers and to appoint and
20 employ such engineers, architects, attorneys, agents, and
21 other employees as may be necessary in its judgment and to fix
22 their compensation; however, such compensation must be within
23 the amount appointed for such purpose in the annual budget of

25 (12) To exercise such powers as may be reasonably
26 necessary to effectively control and regulate facilities under
27 its jurisdiction.
28 (13) To appoint a manager of the airport authority and
29 to determine his or her duties and compensation in accordance
30 with the provisions elsewhere contained in this act.
31 (14) To maintain a full-time airport law enforcement

1 staff and to determine duties and compensation in accordance
2 with the provisions elsewhere in this act.
3 (15) To receive and accept from the Federal Government
4 or any agency thereof grants for or in aid of the construction
5 of any project, and/or operation of the airport and other
6 aviation facilities and facilities related thereto.
7 (16) To make such rules and regulations governing
8 aircraft which are under the jurisdiction of the authority.
9 (17) To make rules and regulations governing the
10 operation of the airport and other aviation facilities and
11 facilities related thereto.
12 (18) To impose a franchise or license tax upon
13 businesses and occupations carried on or operated under and by
14 virtue of any franchises, licenses, or privileges granted by
15 the board with respect to such airports, and other aviation
16 facilities and facilities related thereto, controlled or
17 operated by the airport authority and the board.
18 (19) To advertise the airports of such authority in
19 such manner as the board deems advisable; to negotiate and
20 contract with airlines and other institutions as the board may
21 deem necessary for development, expansion, and operation of
22 the airport authority.
23 (20) To acquire, own, and control the properties now
24 owned and held by the Panama City-Bay County Airport and
25 Industrial District and assume all of its indebtedness,
26 obligations, and liabilities.
27 (21) To adopt a budget with which all expenditures
28 shall be made in strict accordance with the budget so adopted
29 and approved.
30 Section 6. Issuance of bonds; purposes and powers;
31 general.--The board is authorized to provide by resolution at

1 one time or from time to time for the issuance of bonds of the
2 airport authority for the purpose of paying all or a part of
3 the cost of any project or improvement of the authority or any
4 combination thereof. The bonds of each issue shall be dated,
5 shall bear interest at such fixed or variable rate or rates,
6 shall mature at such time or times, not exceeding 40 years
7 from their date or dates, as may be determined by the board,
8 and may be made redeemable before maturity, at the option of
9 the board, at such price or prices and under such terms and
10 conditions as may be fixed by the board prior to the issuance
11 of the bonds. The board shall determine the form of the bonds,
12 including any interest coupons to be attached thereto, and the
13 manner of execution of the bonds and coupons and shall fix the
14 denomination or denominations of the bonds and coupons, and
15 the place or places of payment of principal and interest which
16 may be at any bank or trust company within or without the
17 state. In the event any officer whose signature or a facsimile
18 of whose signature shall appear on any bonds or coupons shall
19 cease to be such officer before the delivery of such bonds,
20 such signature or such facsimile shall nevertheless be valid
21 and sufficient for all purposes the same as if he or she had
22 remained in office until such delivery. All bonds issued under
23 the provisions of this act shall have and are hereby declared
24 to have all the qualities and incidents of negotiable
25 instruments under the laws of the state. The bonds may be
26 issued in coupon or in registered form or both, as the board
27 may determine and provisions may be made for the registration
28 of any coupon bonds as to principal along and also as to both
29 principal and interest and for the reconversion into coupon
30 bonds of any bonds registered as to both principal and
31 interest. The issuance of such bonds shall not be subject to

1 any limitations or conditions contained in any other law and
2 the board may sell such bonds in such manner and for such
3 price, as it may determine to be for the best interest of the
4 authority, but no such sale shall be made at a price so low as
5 to require the payment of interest on the money received
6 therefor at more than the fixed or variable rate or rates
7 computed with relation to the absolute maturity of the bonds
8 in accordance with standard tables of bond values, excluding,
9 however, from such computations the amount of any premium to
10 be paid on redemption of any bonds prior to maturity. Prior to
11 the preparation of definitive bonds, the board may, under like
12 restrictions, issue interim receipts or temporary bonds with
13 or without coupons, exchangeable for definitive bonds when
14 such bonds have been executed and are available for delivery.
15 The board may also provide for the replacement of any bonds
16 which shall be mutilated or be destroyed or lost.
17 (1) Bonds may be issued under the provisions of this
18 act without obtaining the consent of any commission, board,
19 bureau, or agency of the state or county and without any other
20 proceedings or the happening of any other condition or thing
21 than those proceedings, conditions, or things which are
22 specifically required by this act. The bonds may be validated
23 in accordance with the State Constitution and the laws of
24 Florida.
25 (2) The proceeds of the bonds shall be used solely for
26 the payment of the cost of the project for which such bonds
27 shall have been authorized and shall be disbursed in the
28 manner provided in the resolution or in the trust agreement
29 authorizing the issuance of such bonds. In the event that the
30 actual cost of the project exceeds the estimated cost, the
31 board may issue additional bonds to cover the deficiency,

1 subject to the same restrictions as required for the original
2 issue.
3 Section 7. Additional authority; bonds.--In addition
4 to any other powers which the board may now have, the board is
5 hereby granted the following rights and powers, and shall have
6 and may exercise all powers necessary, appurtenant,
7 convenient, or incidental to the execution of the powers
8 enumerated in this act:
9 (1) To borrow money, make and issue negotiable notes,
10 bonds, certificates, refunding bonds and other obligations,
11 hereinafter called "bonds," of the authority, said bonds to
12 have a maturity date not exceeding 40 years from the date of
13 issue, and to secure the payment of such bonds or any part
14 thereof by a pledge of any or all of the authority's revenues,
15 rates, fees, rentals, or other charges, and any other funds
16 legally available therefor; and any other funds it has a right
17 to, or may hereafter have the right to, pledge for such
18 purposes, including, without limitation, amounts received from
19 public agencies pursuant to interlocal agreements under part
20 I, chapter 633, Florida Statutes, hereinafter referred to as
21 "revenues"; and in general, to provide for the security of
22 said bonds and the rights and remedies of the holders thereof.
23 Such bonds may be issued to finance or refinance, either one
24 or more or a combination of airport and other aviation
25 facilities and facilities related thereto and may, subject to
26 any prior rights of bondholders, be pledged for any one or
27 more or combination of airport and other aviation facilities
28 and facilities related thereto. Any revenues from the existing
29 airport and other aviation facilities and facilities related
30 thereto and constructed or acquired prior to this act or
31 existing acts, or existing airports and other aviation

1 facilities and facilities related thereto constructed or
2 acquired by the authority from any source may be pledged for
3 any one or more or combination of airports and other aviation
4 facilities or facilities related thereto financed under this
5 act, regardless of whether or not such existing airports and
6 other aviation facilities and facilities related thereto are
7 then being improved or financed by the proceeds of the bonds
8 to be issued to finance the one or more or any combination of
9 airports and other aviation facilities and facilities related
10 thereto for which such revenues of such existing airports and
11 other aviation facilities and facilities related thereto are
12 to be pledged.
13 (2) To make contracts of every kind and nature and to
14 execute all instruments necessary or convenient for the
15 carrying on of its business.
16 (3) To enter into interlocal agreements with any
17 public agencies of the state for any of its purposes,
18 including, but not limited to, providing additional sources of
19 funds to pay or secure bonds of the authority or to finance or
20 refinance any project or cost of the authority.
21 (4) To enter into and perform its obligations under
22 any bond insurance agreements, surety bonds, interest rate
23 hedge, or swap contracts or other financial instruments and to
24 secure its obligations thereunder from any revenues legally
25 available therefor.
26 (5) Without limitation of the foregoing, to borrow
27 money and accept grants, contributions, or loans from, and to
28 enter into, and comply with the terms of, contracts, leases,
29 or other transactions with, the state government or Federal
30 Government.
31 (6) To conduct public hearings and advertise the same

1 as may be required by federal law in connection with any
2 borrowing.
3 (7) To have the power of eminent domain, such power to
4 be extended in the manner provided by law for the state, or
5 agencies or instruments thereof.
6 (8) To refund, refinance, retire, or defease any
7 obligations then outstanding.
8 (9) To pledge, hypothecate, or otherwise encumber all
9 or part of the revenues, rates, fees, rentals, or other
10 charges, funds, or receipts of the authority as security for
11 all or any of the obligations issued by the authority.
12 (10) To employ technical experts necessary to assist
13 the board in carrying out or exercising any powers granted
14 hereby, including, but not limited to, architects, engineers,
15 attorneys, fiscal advisors, fiscal agents, investment bankers,
16 and aviation consultants.
17 (11) To exercise all powers of a "local agency"
18 pursuant to part II, chapter 159, Florida Statutes, relative
19 to the purposes of the authority.
20 (12) To do all acts and things necessary or convenient
21 for the promotion of its business and the general welfare of
22 the authority, in order to carry out the powers granted to it
23 by this act or any other laws. The board shall have no power
24 at any time or in any manner to pledge the taxing power of the
25 state, or any political subdivision or agency thereof; nor
26 shall any of the obligations issued by the authority be deemed
27 to be obligations of the state, or any political subdivision
28 or agency thereof, secured by and payable from ad valorem
29 taxes thereof; nor shall the state, or any political
30 subdivision or agency thereof, be liable for the payment of
31 principal of or interest on such obligations except from the

1 special funds provided for in this act or pursuant to
2 interlocal agreements entered into with public agencies of the
3 state.
4 Section 8. Purposes and powers; bonds.--The bonds
5 issued by the board pursuant to this act shall be authorized
6 by resolution of the members thereof and shall bear such date
7 or dates, mature at such time or times, not exceeding 40 years
8 from the respective dates, bear interest at such fixed or
9 variable rate or rates, payable at such times, be in such
10 denominations, be in such form shall carry such registration,
11 exchangeability, and interchangeability privileges, be payable
12 in such medium of payment and at such place, within or without
13 the state, be subject to such terms of redemption, and be
14 entitled to such priorities on the revenues, rates, fees,
15 rentals, or other charges or receipts of the authority as such
16 resolution or any resolutions subsequent thereto may provide.
17 The bonds shall be executed either by manual or facsimile
18 signature by such officers as the authority shall determine,
19 provided that such bonds shall bear at least one signature
20 which is manually executed thereon, to the extent required by
21 general law, and the bonds shall have the seal of the
22 authority affixed, imprinted, reproduced, or lithographed
23 thereon, all as may be prescribed in such resolution or
24 resolutions. Said bonds may be sold either at public or
25 private sale at such price or prices as the board shall
26 determine to be in the best interests of the authority.
27 Pending the preparation of definitive bonds, interim
28 certificates or temporary bonds may be issued to the purchaser
29 of such bonds, and may contain such terms and conditions as
30 the board may determine, including, without limitation,
31 provisions for registration and book entry registration of

1 bonds.
2 (1) Any such resolution or resolutions authorizing any
3 bonds hereunder may contain provisions which shall be part of
4 the contract with the holders of such bonds, as to:
5 (a) The pledging of all or any part of the revenues,
6 rates, fees, rentals, or other charges or receipts of the
7 authority derived by the authority from all or any of its
8 airports and other aviation facilities and facilities related
9 thereto or pursuant to interlocal agreements or from other
10 sources legally available for such payments.
11 (b) The construction, improvement, operation,
12 extension, enlargement, maintenance, repair, or lease of such
13 airports, and other aviation facilities and facilities related
14 thereto, and the duties of the authority with reference
15 thereto.
16 (c) Limitations on the purposes to which the proceeds
17 of the bonds, then or thereafter to be issued, or any loan or
18 grant by the Federal Government or the state government or the
19 county or any municipality therein or any limited purpose
20 revenues authorized to be collected or received by the
21 authority, may be applied.
22 (d) The fixing, charging, establishing, and collecting
23 of rates, fees, rentals, or other charges for use of the
24 services and facilities of the airports, and other aviation
25 facilities and facilities related thereto of the authority, or
26 any part thereof.
27 (e) The setting aside of reserves or sinking funds or
28 repair and replacement funds or other funds, and the
29 regulation and disposition thereof.
30 (f) Limitations on the issuance of additional bonds.
31 (g) The terms and provisions of any deed of trust or

1 indenture securing the bonds, or under which the same may be
2 issued.
3 (h) Establishment of permitted investments in which
4 any proceeds of the bonds or other funds securing same may be
5 invested.
6 (i) Any other or additional agreements with the
7 holders of the bonds as are customary and proper and which in
8 the judgment of the board will make said bonds more
9 marketable.
10 (2) The board may enter into any deeds of trust,
11 indentures, or other agreements, with any bank or trust
12 company within or without the state, as security for such
13 bonds, and may assign and pledge all or any part of the
14 revenue, rates, fees, rentals, or other charges or receipts of
15 the authority thereunder. Such deeds of trust, indentures, or
16 other agreements may contain such provisions as may be
17 customary in such instruments or as the authority may
18 authorize, including, but without limitation, provisions as
19 to:
20 (a) The construction, improvement, operation,
21 extension, leasing, maintenance, repair, or lease of such
22 airports, and other aviation facilities and facilities related
23 thereto, and the duties of the authority with reference
24 thereto.
25 (b) The application of funds and the safeguarding of
26 funds on hand or on deposit.
27 (c) The appointment of consulting engineers or
28 architects and approval thereof by the holders of the bonds.
29 (d) The rights and remedies of said trustee and the
30 holders of the bonds.
31 (e) The terms and provisions of the bonds or the
32

1 resolution authorizing the issuance of the same. Any of the
2 bonds issued pursuant to this act are, and are hereby declared
3 to be, negotiable instruments under the law merchant and
4 negotiable instruments law of the state.
5 (f) Except as otherwise provided in this act, the
6 board may provide, by resolution or by trust agreement, for
7 the payment of the proceeds of the sale of the revenue bonds
8 and the revenues of the facilities to such officer, board, or
9 depository as it may determine for the custody thereof and for
10 the method of disbursement thereof with such safeguards and
11 restrictions as it may determine. All expenses incurred in
12 carrying out such trust agreement may be treated as a part of
13 the cost of operation of the facilities affected by such trust
14 agreement.
15 (3) The pledge by the board of its revenues, rates,
16 fees, rentals, and other charges, funds, and receipts, to the
17 payment of the bonds described above, either directly by the
18 terms of a resolution of the board or through any deed of
19 trust, indenture, or other agreement, shall create a valid and
20 binding lien thereon and a prior perfected security interest
21 therein from the time the pledge is made, and all moneys and
22 revenues so pledged shall immediately become subject to a lien
23 of such pledge without any physical delivery thereof or
24 further act, and the lien of any such pledge shall be valid
25 and binding against all parties having claims of any kind in
26 tort, contract, or otherwise against the authority,
27 irrespective of whether such parties have notice thereof.
28 Neither the resolutions nor the deed of trust, indenture, or
29 other agreement by which the pledge is created need be filed
30 or recorded, except in the records of the board, nor shall
31 notice thereof be required to be given to any obligor of any

1 such moneys or revenue, and no filings under the Florida
2 Uniform Commercial Code shall be required in order to perfect
3 the pledge granted thereby.
4 Section 9. Revenue bonds.--Revenue bonds of the
5 authority may be issued under the provisions of this act and
6 shall be payable from the revenues derived from the operation
7 of any facility or combination of facilities of the authority
8 under the supervision, operation, and control of the authority
9 and from any other funds legally available therefor; except ad
10 valorem taxes. The issuance of such revenue bonds shall not
11 directly, indirectly, or contingently obligate the state, the
12 authority, the city, or the county to levy any ad valorem
13 taxes or to make any appropriations for their payment or for
14 the operation and maintenance of the facilities of the
15 authority.
16 (1) The board shall not convey or mortgage any
17 facility or any part thereof as security for the payment of
18 the revenue bonds.
19 (2) In the discretion of the board, each or any issue
20 of such revenue bonds may be secured by a trust agreement by
21 and between the board and a corporate trustee, which may be
22 any trust company or bank having the powers of a trust company
23 within or outside of the state. Such trust agreement may
24 pledge or assign the revenues to be received by the authority.
25 The resolution providing for the issuance of revenue bonds or
26 such trust agreement may contain such provisions for
27 protecting and enforcing the rights and remedies of the
28 bondholders as may be reasonable, proper, and not in violation
29 of law, including covenants setting forth the duties of the
30 authority in relation to the acquisition, construction,
31 improvement, maintenance, operation, repair, equipping, and

1 insurance of the facilities and the custody, safeguarding, and
2 application of all moneys. It shall be lawful for any bank or
3 trust company incorporated under the laws of this state to act
4 as such depository and to furnish such indemnifying bonds or
5 to pledge such securities as may be required by the board.
6 Such resolution or such trust agreement may restrict the
7 individual right of action by bondholders as is customary in
8 trust agreements securing bonds or debentures of corporations.
9 In addition to the foregoing, such resolution or such trust
10 agreement may contain such other provisions as the board may
11 deem reasonable and proper for the security of bondholders.
12 Except as otherwise provided in this act, the board may
13 provide, by resolution or by trust agreement, for the payment
14 of the proceeds of the sale of the revenue bonds and the
15 revenues of the facilities to such officer, board, or
16 depository as it may determine for the custody thereof and for
17 the method of disbursement thereof with such safeguards and
18 restrictions as it may determine. All expenses incurred in
19 carrying out such trust agreement may be treated as a part of
20 the cost of operation of the facilities affected by such trust
21 agreement.
22 (3) The resolution or trust agreement providing for
23 the issuance of the revenue bonds may also contain such
24 limitations upon the issuance of additional revenue bonds as
25 the board may deem proper and such additional bonds shall be
26 issued under such restrictions or limitations as may be
27 prescribed by such resolution or trust agreement.
28 Section 10. Refunding obligations.--The board is
29 authorized to provide by resolution for the issuance of
30 refunding bonds or refunding revenue bonds of the authority
31 for the purpose of refunding any bonds or revenue bonds,

1 respectively, then outstanding and issued under the provisions
2 of this act. The board is further authorized to provide by
3 resolution for the issuance of refunding revenue bonds for the
4 combined purpose of:
5 (1) Paying the cost of any project of the authority.
6 (2) Refunding bonds or revenue bonds of the authority
7 which shall theretofore have been issued under the provisions
8 of this act and shall then be outstanding.

10 The issuance of such bonds, the maturities and other details
11 thereof, the right and remedies of the holders thereof, the
12 rights, powers, privileges, duties, and obligations of the
13 authority with respect to the same shall be governed by the
14 foregoing provisions of this act insofar as the same may be
15 applicable.
16 Section 11. Bonds to constitute legal
17 investments.--Any bonds issued pursuant to this act shall be
18 and constitute legal investments for banks, savings banks,
19 trustees, executors, administrators, and all other fiduciaries
20 for all state, municipal, and public funds and shall also be
21 and constitute securities eligible for deposit as security for
22 all state, municipal, or other public funds notwithstanding
23 the provisions of any other law or laws to the contrary.
24 Section 12. Remedies.--Any holder of bonds or other
25 obligations issued under the provisions of this act or any of
26 the coupons appertaining thereto and the trustee under any
27 trust agreement, except to the extent that the rights herein
28 given may be restricted by such trust agreement may either at
29 law or in equity, by suit, action, mandamus or other
30 proceedings, protect and enforce any and all rights under the
31 laws of Florida or granted hereunder or under such trust

1 agreement or the resolution authorizing the issuance of such
2 bonds or other obligations and may enforce and compel the
3 performance of all duties required by this act or by such
4 trust agreement or resolution to be performed by the board or
5 by any officer thereof.
6 Section 13. Exemption of property from taxation.--The
7 effectuation of the purposes of the board created under this
8 act is, shall and will be in all respects for the benefit of
9 the people of the state and of Bay County, for the increase of
10 their commerce and prosperity and for the improvement of their
11 health and welfare. The exercise of the powers by the board,
12 conferred by this act, to effect such purposes constitutes the
13 performance of essential functions and is hereby declared to
14 be a public purpose. As the facilities owned, operated,
15 supervised, and controlled by the authority and the board,
16 under the provisions of this act, constitute public property
17 and are used for public purposes, the board shall not be
18 required to pay any taxes or assessments upon any such
19 facilities or any parts thereof.
20 Section 14. Board of Directors accounting practices;
21 deposit of moneys of the board.--All moneys of the board,
22 whether derived from taxes or levied and collected within the
23 airport authority or from other sources, shall be paid into
24 the treasury of the board. Such moneys shall be used
25 exclusively by the board and shall be disbursed by the board
26 with approved budgetary practice and accounting methods and
27 only for the purposes specified in the budget of the board. No
28 funds or moneys shall be withdrawn from the treasury of the
29 board except in accordance with the budget and upon the
30 signature of either the chair or one of the members of the
31 board and either the airport manager or designated staff

1 member as authorized by the members of the board. The board
2 may require such officers or members of the board or employees
3 thereof to execute fidelity bonds in such sums as the board
4 may from time to time determine. The premiums on such bonds
5 shall be paid by the authority as a proper operating expense
6 thereof.
7 Section 15. Annual audit.--The books and records of
8 the board shall be audited annually by a certified public
9 accountant and copies of such audit submitted to the board and
10 the City Commission of the City of Panama City and the Board
11 of County Commissioners of Bay County.
12 Section 16. Awarding of contracts.--No contract shall
13 be let by the board for any construction, improvement, repair,
14 or building nor shall any goods, supplies, or materials for
15 airport authority purposes or uses be purchased when the
16 amount to be paid by the board shall exceed the amount
17 specified in s. 287.057, Florida Statutes, unless competitive
18 bids shall have been taken therefor and the contract awarded
19 to the lowest and best responsible bidder. The board may, in
20 its discretion, require the deposit of cash or a certified
21 check not to exceed 15 percent of the bid as evidence of good
22 faith on the part of bidders, such deposit to be returned when
23 the bid is rejected or contract performed. The right shall be
24 in the board to reject any and all bids and, where bids are
25 alike or similar, to make its own election as to which shall
26 be accepted or rejected. No goods, supplies, or materials
27 shall be purchased in separate lots or parcels so as to avoid
28 the securing of bids thereon. Any member, officer, or employee

1 the board may take such action as is necessary to protect
2 airport properties.
3 Section 17. Purchases by board.--No member of the
4 board or other officer or employees shall purchase supplies,
5 goods, or materials for use by the airport authority from
6 himself or herself or from any firm or corporation in which he
7 or she is interested, directly or indirectly, nor in any
8 manner share in the proceeds of such purchase; the board shall
9 not be obligated for the purchase price for such supplies,
10 goods, or materials so purchased; no board member or other
11 officer or employee shall bid or enter into or be in any
12 manner interested, directly or indirectly, in any contract for
13 public work to which the airport may be a party. Any person
14 who violates the provisions hereof shall be deemed guilty of
15 malfeasance in office. All moneys or things of value paid and
16 delivered pursuant to such contract or purchase may be
17 recovered by the board and, in the event of its refusal by a
18 taxpayer for the use of the board, including costs, expenses,
19 and reasonable attorney's fees incurred in any proceeding for
20 the recovery thereof.
21 Section 18. Conflict of interest.--No board member or
22 other officer or employee shall act as a consultant to, be
23 employed by, or receive compensation in any manner, directly
24 or indirectly, from any vendor, tenant, or concessionaire of
25 the airport authority, nor shall board members or other
26 officers or employees conduct other than airport business
27 within the airport facility or on airport property. Any person
28 who violates the provisions hereof, shall be deemed guilty of
29 malfeasance in office.
30 Section 19. Additional general provisions; act
31 complete and additional authority.--The powers conferred by

1 this act shall be in addition and supplemental to the existing
2 powers of the board as herein provided. Chapter 67-1099, Laws
3 of Florida, and chapter 69-834, Laws of Florida, are hereby
4 repealed.
5 Section 3. If any section, clause, or provision of
6 this act shall be held unconstitutional or ineffective in
7 whole or in part to the extent that it is not unconstitutional
8 or ineffective, it shall be valid and effective and no other
9 section, clause, or provision shall on account thereof be
10 deemed invalid or ineffective.
11 Section 4. This act shall take effect upon becoming a
12 law.
