9 the governing body; providing for its
10 government, jurisdiction, expansion of powers,
11 franchises, and privileges, including the
12 creation of an independent airport police
13 department, with full police powers; repealing
14 chapters 67-1099 and 69-834, Laws of Florida,
15 prior special acts relating to the airport
16 authority; providing an effective date.

18 Be It Enacted by the Legislature of the State of Florida:

20 Section 1. Chapters 67-1099 and 69-834, Laws of
21 Florida, relating to the Panama City-Bay County Airport and
22 Industrial District are codified, reenacted, and repealed as
23 herein provided.
24 Section 2. The Panama City-Bay County Airport and
25 Industrial District is re-created and reenacted to read:
26 Section 1. Airport district established.--There is
27 created and established as a political subdivision of the
28 state, an airport district in Bay County to be known as the
29 "Panama City-Bay County Airport and Industrial District" an
30 independent special district. The boundaries of the district
31 are as follows:

26 Section 2. Definitions.--As used in this act, the
27 following words and terms shall have the following meanings:
28 (1) "Airport authority" or "authority" means the
29 Panama City-Bay County Airport and Industrial District
30 hereinafter created.
31 (2) "City" means the City of Panama City.

1 (3) "County" means the County of Bay.
2 (4) "County commissioners" means the Board of County
3 Commissioners, the governing body of the County of Bay.
4 (5) "Aviation facility" means all land, improved or
5 unimproved, hangars, buildings, passenger terminals, shops,
6 restaurants, hotels, office buildings, and any and all other
7 facilities including property rights, easements, and
8 franchises the authority deems necessary and convenient.
9 (6) "Airport project" or "project" means any one or
10 any combination of two or more of the following when
11 undertaken by or owned, controlled, or operated by the airport
12 authority: airports, airport facilities, landing fields,
13 hangars, shops, terminals, buildings, oil tanks, pipe lines,
14 industrial parks, warehouses, and terminal railway facilities
15 including rolling stock, belt line railroad, bridges,
16 causeways, tunnels, facilities for the loading, unloading and
17 handling of passengers, mail express, freight and other cargo,
18 hotels, office buildings, industrial facilities, and any and
19 all other facilities, including all property rights,
20 easements, and franchises relating to any such project or
21 projects which, by resolution, the authority may deem
22 necessary and convenient.
23 (7) "Improvements" means such replacements, repairs,
24 extensions, additions, enlargements, and betterments of and to
25 a project as are deemed necessary to place such project in
26 proper condition for the safe, efficient, and economic
27 operation thereof, when such project shall be undertaken by or
28 owned, controlled, or operated by the airport authority.
29 (8) "Cost," as applied to improvements, means the cost
30 of acquiring or constructing improvements as hereinabove
31 defined and shall include the cost of all labor and materials,

1 of all machinery and equipment, cost of engineering and legal
2 expense, plans specifications, financing charges, and such
3 other expenses as may be necessary or incident to such
4 acquisition or construction.
5 (9) "Cost," as applied to a project acquired,
6 constructed, extended, or enlarged, includes the purchase
7 price of any project acquired, the cost of such construction,
8 extension, or enlargement, the cost of improvements, the cost
9 of all lands, properties, rights, easements, and franchises
10 acquired, the cost of all machinery and equipment, the cost of
11 engineering and legal services, all investigations and audits,
12 financing charges and all other expenses necessary or incident
13 to determining the practicability or feasibility of such
14 acquisition or construction, administrative expense, and such
15 other expenses as may be necessary or incident to the
16 financing herein authorized and to the construction or
17 acquisition of a project and the placing of the same in
18 operation. Any obligation or expense incurred by the airport
19 authority prior to the issuance of bonds or revenue bonds
20 under the provisions of this act for engineering studies and
21 for estimates of cost and of revenues and for other technical,
22 financial, or legal services in connection with the
23 acquisition or construction of any project may be regarded as
24 part of the cost of such project.
25 (10) "Bonds" means revenue bonds, refunding bonds, or
26 other evidence of indebtedness or obligations in either
27 temporary or definitive form, which the authority is
28 authorized to issue pursuant to this act.
29 (11) "Revenue bonds" means revenue certificates or
30 other obligations and the interest thereon which are payable
31 from revenues derived from the operation of the facilities of

1 the airport authority or from other sources than ad valorem
2 taxes.
3 (12) "Facility" or "facilities" means and includes all
4 projects and improvements of the airport authority.
5 Section 3. Governing Board.--The Board of Directors, a
6 body corporate and politic, shall be the governing board of
7 the Panama City-Bay County Airport and Industrial District.
8 (1) The board shall consist of five persons who are
9 citizens and residents of Bay County. Two of said five members
10 shall be appointed by the City Commission of the City of
11 Panama City. Two of said five members shall be appointed by
12 the Board of County Commissioners of Bay County. Said four
13 members so appointed shall select the fifth member. Upon the
14 expiration of the several terms of the members as herein
15 provided, the Board of County Commissioners of Bay County and
16 the City Commission of the City of Panama City shall appoint
17 successors for the members whose terms are expiring each to
18 hold office for a term of 2 years. The fifth member of said
19 authority shall always hold office for a term of 2 years and
20 shall be selected by the four appointed members as aforesaid.
21 (2) Three members of the board shall constitute a
22 quorum. The vote of three members shall be necessary for any
23 action taken by the board involving the incurring of any
24 indebtedness or expenditures of authority funds or moneys.
25 (3) The members of the board shall not receive
26 compensation for their services, but shall be reimbursed for
27 travel and per diem the same as that provided for county
28 officials; however, members of the board must submit a signed
29 statement requesting the allowable expenses within 6 months
30 from the date of the incurring of such expenses.

1 (4) An airport manager may be employed by the board,
2 who shall be a full-time employee and shall devote his or her
3 time and attention to the discharge of his or her duties. The
4 airport manager shall receive such salary as the board may
5 set.
6 (5) The board shall have power to employ such persons
7 in addition to the airport manager as the business of the
8 airport authority may require.
9 (6) The board shall have the power to establish an
10 independent Airport Police Department with full police powers.
11 (7) The board shall have the power to contract with
12 similar authorities in carrying out common projects and the
13 purposes of this act.
14 Section 4. Purposes of airport authority.--The airport
15 authority is created for the purpose of acquiring,
16 constructing, improving, financing, operating, and maintaining
17 airport projects and any other development of land owned or
18 leased by the authority and necessary to the economic welfare
19 of the inhabitants of the authority and which will promote the
20 economic, commercial, and industrial development of the
21 authority. The exercise by the authority of the powers
22 conferred by this act shall be deemed to be and shall
23 constitute a public purpose.
24 Section 5. Powers of the Board of Directors.--The
25 Board of Directors shall have all of the power necessary and
26 proper to carry out the purposes and intent of this act,
27 including the power to sue and be sued, under the name of the
28 "Panama City-Bay County Airport and Industrial District," to
29 contract and be contracted with, to adopt and use a common
30 seal and to alter same; to acquire, purchase, hold, lease,
31 mortgage, and convey such real and personal property as the

1 board may deem proper or expedient to carry out the purposes
2 of this act; to employ such persons and agents as the board
3 may deem advisable and to fix the compensation thereof and to
4 remove any appointees or employees, agents, or servants; to
5 ensure the improvements, fixtures, and equipment against loss
6 by fire, windstorm, or other coverage in such amounts as may
7 be determined reasonable and proper; to borrow and issue
8 evidence of indebtedness of the authority to carry out the
9 provisions of this act in the manner herein provided. The
10 board shall also have the right and power:
11 (1) Of eminent domain over real and personal property
12 and to maintain eminent domain proceedings in the form and in
13 the manner as prescribed by the general laws of the state,
14 provided that the power of eminent domain shall be exercised
15 only for the purpose of providing for aviation facilities.
16 (2) To acquire by purchase, condemnation through power
17 of eminent domain, gift, grant, franchise or lease, property,
18 either real or personal; however, the power of eminent domain
19 shall be exercised only for the purpose of providing for
20 aviation facilities.
21 (3) To grant easements of right-of-way over or through
22 any lands owned by the airport authority.
23 (4) To construct, acquire, establish, extend, enlarge,
24 improve, reconstruct, maintain, equip, repair, and operate any
25 project, as hereinabove defined, within the boundaries of the
26 airport authority.
27 (5) To borrow money and to incur indebtedness, to
28 issue such bonds for and on behalf of the airport authority as
29 the board may from time to time determine; but in no case
30 shall the indebtedness of the authority for bonds issued be
31 considered a debt of the city or the county.

1 (6) To apply to the proper authorities of the United
2 States for the right to establish, operate, and maintain
3 foreign and domestic trade zones within the limits of the
4 airport authority and to establish, operate, and maintain such
5 foreign and domestic trade zones.
6 (7) To fix and revise from time to time and to collect
7 rates, fees, rentals and other charges for the use of or for
8 the services of any facility, insofar as it may be permissible
9 for the board to do so under the State Constitution and the
10 Constitution and laws of the United States.
11 (8) To make rules and regulations for its own
12 government and to hold regular meetings at least once a month,
13 said meetings to be open to the public.
14 (9) To operate, manage, and control all projects as
15 hereinabove defined, hereafter acquired or constructed under
16 the provisions of this act.
17 (10) To enter into joint agreements and arrangements
18 with steamship lines, railroads, airlines, or other
19 transportation lines or any common carrier as the board shall
20 deem to its advantage to do so.
21 (11) To make and enter into all contracts and
22 agreements necessary or incidental to the performance of its
23 duties and the execution of its powers and to appoint and
24 employ such engineers, architects, attorneys, agents, and
25 other employees as may be necessary in its judgment and to fix
26 their compensation; however, such compensation must be within
27 the amount appointed for such purpose in the annual budget of
28 the authority.
29 (12) To exercise such powers as may be reasonably
30 necessary to effectively control and regulate facilities under
31 its jurisdiction.

2 to determine his or her duties and compensation in accordance
3 with the provisions elsewhere contained in this act.
4 (14) To maintain a full-time airport law enforcement

7 (15) To receive and accept from the Federal Government
8 or any agency thereof grants for or in aid of the construction
9 of any project, and/or operation of the airport and other
10 aviation facilities and facilities related thereto.
11 (16) To make such rules and regulations governing
12 aircraft which are under the jurisdiction of the authority.
13 (17) To make rules and regulations governing the
14 operation of the airport and other aviation facilities and
15 facilities related thereto.
16 (18) To impose a franchise or license tax upon
17 businesses and occupations carried on or operated under and by
18 virtue of any franchises, licenses, or privileges granted by
19 the board with respect to such airports, and other aviation
20 facilities and facilities related thereto, controlled or
21 operated by the airport authority and the board.
22 (19) To advertise the airports of such authority in
23 such manner as the board deems advisable; to negotiate and
24 contract with airlines and other institutions as the board may
25 deem necessary for development, expansion, and operation of
26 the airport authority.
27 (20) To acquire, own, and control the properties now
28 owned and held by the Panama City-Bay County Airport and
29 Industrial District and assume all of its indebtedness,
30 obligations, and liabilities.

7 airport authority for the purpose of paying all or a part of
8 the cost of any project or improvement of the authority or any
9 combination thereof. The bonds of each issue shall be dated,
10 shall bear interest at such fixed or variable rate or rates,
11 shall mature at such time or times, not exceeding 40 years
12 from their date or dates, as may be determined by the board,
13 and may be made redeemable before maturity, at the option of
14 the board, at such price or prices and under such terms and
15 conditions as may be fixed by the board prior to the issuance
16 of the bonds. The board shall determine the form of the bonds,
17 including any interest coupons to be attached thereto, and the
18 manner of execution of the bonds and coupons and shall fix the
19 denomination or denominations of the bonds and coupons, and
20 the place or places of payment of principal and interest which
21 may be at any bank or trust company within or without the
22 state. In the event any officer whose signature or a facsimile
23 of whose signature shall appear on any bonds or coupons shall
24 cease to be such officer before the delivery of such bonds,
25 such signature or such facsimile shall nevertheless be valid
26 and sufficient for all purposes the same as if he or she had
27 remained in office until such delivery. All bonds issued under
28 the provisions of this act shall have and are hereby declared
29 to have all the qualities and incidents of negotiable
30 instruments under the laws of the state. The bonds may be
31 issued in coupon or in registered form or both, as the board

1 may determine and provisions may be made for the registration
2 of any coupon bonds as to principal along and also as to both
3 principal and interest and for the reconversion into coupon
4 bonds of any bonds registered as to both principal and
5 interest. The issuance of such bonds shall not be subject to
6 any limitations or conditions contained in any other law and
7 the board may sell such bonds in such manner and for such
8 price, as it may determine to be for the best interest of the
9 authority, but no such sale shall be made at a price so low as
10 to require the payment of interest on the money received
11 therefor at more than the fixed or variable rate or rates
12 computed with relation to the absolute maturity of the bonds
13 in accordance with standard tables of bond values, excluding,
14 however, from such computations the amount of any premium to
15 be paid on redemption of any bonds prior to maturity. Prior to
16 the preparation of definitive bonds, the board may, under like
17 restrictions, issue interim receipts or temporary bonds with
18 or without coupons, exchangeable for definitive bonds when
19 such bonds have been executed and are available for delivery.
20 The board may also provide for the replacement of any bonds
21 which shall be mutilated or be destroyed or lost.
22 (1) Bonds may be issued under the provisions of this
23 act without obtaining the consent of any commission, board,
24 bureau, or agency of the state or county and without any other
25 proceedings or the happening of any other condition or thing
26 than those proceedings, conditions, or things which are
27 specifically required by this act. The bonds may be validated
28 in accordance with the State Constitution and the laws of
29 Florida.
30 (2) The proceeds of the bonds shall be used solely for
31 the payment of the cost of the project for which such bonds

1 shall have been authorized and shall be disbursed in the
2 manner provided in the resolution or in the trust agreement
3 authorizing the issuance of such bonds. In the event that the
4 actual cost of the project exceeds the estimated cost, the
5 board may issue additional bonds to cover the deficiency,
6 subject to the same restrictions as required for the original
7 issue.
8 Section 7. Additional authority; bonds.--In addition
9 to any other powers which the board may now have, the board is
10 hereby granted the following rights and powers, and shall have
11 and may exercise all powers necessary, appurtenant,
12 convenient, or incidental to the execution of the powers
13 enumerated in this act:
14 (1) To borrow money, make and issue negotiable notes,
15 bonds, certificates, refunding bonds and other obligations,
16 hereinafter called "bonds," of the authority, said bonds to
17 have a maturity date not exceeding 40 years from the date of
18 issue, and to secure the payment of such bonds or any part
19 thereof by a pledge of any or all of the authority's revenues,
20 rates, fees, rentals, or other charges, and any other funds
21 legally available therefor; and any other funds it has a right
22 to, or may hereafter have the right to, pledge for such
23 purposes, including, without limitation, amounts received from
24 public agencies pursuant to interlocal agreements under part
25 I, chapter 633, Florida Statutes, hereinafter referred to as
26 "revenues"; and in general, to provide for the security of
27 said bonds and the rights and remedies of the holders thereof.
28 Such bonds may be issued to finance or refinance, either one
29 or more or a combination of airport and other aviation
30 facilities and facilities related thereto and may, subject to
31 any prior rights of bondholders, be pledged for any one or

1 more or combination of airport and other aviation facilities
2 and facilities related thereto. Any revenues from the existing
3 airport and other aviation facilities and facilities related
4 thereto and constructed or acquired prior to this act or
5 existing acts, or existing airports and other aviation
6 facilities and facilities related thereto constructed or
7 acquired by the authority from any source may be pledged for
8 any one or more or combination of airports and other aviation
9 facilities or facilities related thereto financed under this
10 act, regardless of whether or not such existing airports and
11 other aviation facilities and facilities related thereto are
12 then being improved or financed by the proceeds of the bonds
13 to be issued to finance the one or more or any combination of
14 airports and other aviation facilities and facilities related
15 thereto for which such revenues of such existing airports and
16 other aviation facilities and facilities related thereto are
17 to be pledged.
18 (2) To make contracts of every kind and nature and to
19 execute all instruments necessary or convenient for the
20 carrying on of its business.
21 (3) To enter into interlocal agreements with any
22 public agencies of the state for any of its purposes,
23 including, but not limited to, providing additional sources of
24 funds to pay or secure bonds of the authority or to finance or
25 refinance any project or cost of the authority.
26 (4) To enter into and perform its obligations under
27 any bond insurance agreements, surety bonds, interest rate
28 hedge, or swap contracts or other financial instruments and to
29 secure its obligations thereunder from any revenues legally
30 available therefor.

1 (5) Without limitation of the foregoing, to borrow
2 money and accept grants, contributions, or loans from, and to
3 enter into, and comply with the terms of, contracts, leases,
4 or other transactions with, the state government or Federal
5 Government.
6 (6) To conduct public hearings and advertise the same
7 as may be required by federal law in connection with any
8 borrowing.
9 (7) To have the power of eminent domain, such power to
10 be extended in the manner provided by law for the state, or
11 agencies or instruments thereof.
12 (8) To refund, refinance, retire, or defease any
13 obligations then outstanding.
14 (9) To pledge, hypothecate, or otherwise encumber all
15 or part of the revenues, rates, fees, rentals, or other
16 charges, funds, or receipts of the authority as security for
17 all or any of the obligations issued by the authority.
18 (10) To employ technical experts necessary to assist
19 the board in carrying out or exercising any powers granted
20 hereby, including, but not limited to, architects, engineers,
21 attorneys, fiscal advisors, fiscal agents, investment bankers,
22 and aviation consultants.
23 (11) To exercise all powers of a "local agency"
24 pursuant to part II, chapter 159, Florida Statutes, relative
25 to the purposes of the authority.
26 (12) To do all acts and things necessary or convenient
27 for the promotion of its business and the general welfare of
28 the authority, in order to carry out the powers granted to it
29 by this act or any other laws. The board shall have no power
30 at any time or in any manner to pledge the taxing power of the
31 state, or any political subdivision or agency thereof; nor

1 shall any of the obligations issued by the authority be deemed
2 to be obligations of the state, or any political subdivision
3 or agency thereof, secured by and payable from ad valorem
4 taxes thereof; nor shall the state, or any political
5 subdivision or agency thereof, be liable for the payment of
6 principal of or interest on such obligations except from the
7 special funds provided for in this act or pursuant to
8 interlocal agreements entered into with public agencies of the
9 state.
10 Section 8. Purposes and powers; bonds.--The bonds
11 issued by the board pursuant to this act shall be authorized
12 by resolution of the members thereof and shall bear such date
13 or dates, mature at such time or times, not exceeding 40 years
14 from the respective dates, bear interest at such fixed or
15 variable rate or rates, payable at such times, be in such
16 denominations, be in such form shall carry such registration,
17 exchangeability, and interchangeability privileges, be payable
18 in such medium of payment and at such place, within or without
19 the state, be subject to such terms of redemption, and be
20 entitled to such priorities on the revenues, rates, fees,
21 rentals, or other charges or receipts of the authority as such
22 resolution or any resolutions subsequent thereto may provide.
23 The bonds shall be executed either by manual or facsimile
24 signature by such officers as the authority shall determine,
25 provided that such bonds shall bear at least one signature
26 which is manually executed thereon, to the extent required by
27 general law, and the bonds shall have the seal of the
28 authority affixed, imprinted, reproduced, or lithographed
29 thereon, all as may be prescribed in such resolution or
30 resolutions. Said bonds may be sold either at public or
31 private sale at such price or prices as the board shall

1 determine to be in the best interests of the authority.
2 Pending the preparation of definitive bonds, interim
3 certificates or temporary bonds may be issued to the purchaser
4 of such bonds, and may contain such terms and conditions as
5 the board may determine, including, without limitation,
6 provisions for registration and book entry registration of
7 bonds.
8 (1) Any such resolution or resolutions authorizing any
9 bonds hereunder may contain provisions which shall be part of
10 the contract with the holders of such bonds, as to:
11 (a) The pledging of all or any part of the revenues,
12 rates, fees, rentals, or other charges or receipts of the
13 authority derived by the authority from all or any of its
14 airports and other aviation facilities and facilities related
15 thereto or pursuant to interlocal agreements or from other
16 sources legally available for such payments.
17 (b) The construction, improvement, operation,
18 extension, enlargement, maintenance, repair, or lease of such
19 airports, and other aviation facilities and facilities related
20 thereto, and the duties of the authority with reference
21 thereto.
22 (c) Limitations on the purposes to which the proceeds
23 of the bonds, then or thereafter to be issued, or any loan or
24 grant by the Federal Government or the state government or the
25 county or any municipality therein or any limited purpose
26 revenues authorized to be collected or received by the
27 authority, may be applied.
28 (d) The fixing, charging, establishing, and collecting
29 of rates, fees, rentals, or other charges for use of the
30 services and facilities of the airports, and other aviation
31

1 facilities and facilities related thereto of the authority, or
2 any part thereof.
3 (e) The setting aside of reserves or sinking funds or
4 repair and replacement funds or other funds, and the
5 regulation and disposition thereof.
6 (f) Limitations on the issuance of additional bonds.
7 (g) The terms and provisions of any deed of trust or
8 indenture securing the bonds, or under which the same may be
9 issued.
10 (h) Establishment of permitted investments in which
11 any proceeds of the bonds or other funds securing same may be
12 invested.
13 (i) Any other or additional agreements with the
14 holders of the bonds as are customary and proper and which in
15 the judgment of the board will make said bonds more
16 marketable.
17 (2) The board may enter into any deeds of trust,
18 indentures, or other agreements, with any bank or trust
19 company within or without the state, as security for such
20 bonds, and may assign and pledge all or any part of the
21 revenue, rates, fees, rentals, or other charges or receipts of
22 the authority thereunder. Such deeds of trust, indentures, or
23 other agreements may contain such provisions as may be
24 customary in such instruments or as the authority may
25 authorize, including, but without limitation, provisions as
26 to:
27 (a) The construction, improvement, operation,
28 extension, leasing, maintenance, repair, or lease of such
29 airports, and other aviation facilities and facilities related
30 thereto, and the duties of the authority with reference
31 thereto.

1 (b) The application of funds and the safeguarding of
2 funds on hand or on deposit.
3 (c) The appointment of consulting engineers or
4 architects and approval thereof by the holders of the bonds.
5 (d) The rights and remedies of said trustee and the
6 holders of the bonds.
7 (e) The terms and provisions of the bonds or the
8 resolution authorizing the issuance of the same. Any of the
9 bonds issued pursuant to this act are, and are hereby declared
10 to be, negotiable instruments under the law merchant and
11 negotiable instruments law of the state.
12 (f) Except as otherwise provided in this act, the
13 board may provide, by resolution or by trust agreement, for
14 the payment of the proceeds of the sale of the revenue bonds
15 and the revenues of the facilities to such officer, board, or
16 depository as it may determine for the custody thereof and for
17 the method of disbursement thereof with such safeguards and
18 restrictions as it may determine. All expenses incurred in
19 carrying out such trust agreement may be treated as a part of
20 the cost of operation of the facilities affected by such trust
21 agreement.
22 (3) The pledge by the board of its revenues, rates,
23 fees, rentals, and other charges, funds, and receipts, to the
24 payment of the bonds described above, either directly by the
25 terms of a resolution of the board or through any deed of
26 trust, indenture, or other agreement, shall create a valid and
27 binding lien thereon and a prior perfected security interest
28 therein from the time the pledge is made, and all moneys and
29 revenues so pledged shall immediately become subject to a lien
30 of such pledge without any physical delivery thereof or
31 further act, and the lien of any such pledge shall be valid

1 and binding against all parties having claims of any kind in
2 tort, contract, or otherwise against the authority,
3 irrespective of whether such parties have notice thereof.
4 Neither the resolutions nor the deed of trust, indenture, or
5 other agreement by which the pledge is created need be filed
6 or recorded, except in the records of the board, nor shall
7 notice thereof be required to be given to any obligor of any
8 such moneys or revenue, and no filings under the Florida
9 Uniform Commercial Code shall be required in order to perfect
10 the pledge granted thereby.
11 Section 9. Revenue bonds.--Revenue bonds of the
12 authority may be issued under the provisions of this act and
13 shall be payable from the revenues derived from the operation
14 of any facility or combination of facilities of the authority
15 under the supervision, operation, and control of the authority
16 and from any other funds legally available therefor; except ad
17 valorem taxes. The issuance of such revenue bonds shall not
18 directly, indirectly, or contingently obligate the state, the
19 authority, the city, or the county to levy any ad valorem
20 taxes or to make any appropriations for their payment or for
21 the operation and maintenance of the facilities of the
22 authority.
23 (1) The board shall not convey or mortgage any
24 facility or any part thereof as security for the payment of
25 the revenue bonds.
26 (2) In the discretion of the board, each or any issue
27 of such revenue bonds may be secured by a trust agreement by
28 and between the board and a corporate trustee, which may be
29 any trust company or bank having the powers of a trust company
30 within or outside of the state. Such trust agreement may
31 pledge or assign the revenues to be received by the authority.

1 The resolution providing for the issuance of revenue bonds or
2 such trust agreement may contain such provisions for
3 protecting and enforcing the rights and remedies of the
4 bondholders as may be reasonable, proper, and not in violation
5 of law, including covenants setting forth the duties of the
6 authority in relation to the acquisition, construction,
7 improvement, maintenance, operation, repair, equipping, and
8 insurance of the facilities and the custody, safeguarding, and
9 application of all moneys. It shall be lawful for any bank or
10 trust company incorporated under the laws of this state to act
11 as such depository and to furnish such indemnifying bonds or
12 to pledge such securities as may be required by the board.
13 Such resolution or such trust agreement may restrict the
14 individual right of action by bondholders as is customary in
15 trust agreements securing bonds or debentures of corporations.
16 In addition to the foregoing, such resolution or such trust
17 agreement may contain such other provisions as the board may
18 deem reasonable and proper for the security of bondholders.
19 Except as otherwise provided in this act, the board may
20 provide, by resolution or by trust agreement, for the payment
21 of the proceeds of the sale of the revenue bonds and the
22 revenues of the facilities to such officer, board, or
23 depository as it may determine for the custody thereof and for
24 the method of disbursement thereof with such safeguards and
25 restrictions as it may determine. All expenses incurred in
26 carrying out such trust agreement may be treated as a part of
27 the cost of operation of the facilities affected by such trust
28 agreement.
29 (3) The resolution or trust agreement providing for
30 the issuance of the revenue bonds may also contain such
31 limitations upon the issuance of additional revenue bonds as

1 the board may deem proper and such additional bonds shall be
2 issued under such restrictions or limitations as may be
3 prescribed by such resolution or trust agreement.
4 Section 10. Refunding obligations.--The board is
5 authorized to provide by resolution for the issuance of
6 refunding bonds or refunding revenue bonds of the authority
7 for the purpose of refunding any bonds or revenue bonds,
8 respectively, then outstanding and issued under the provisions
9 of this act. The board is further authorized to provide by
10 resolution for the issuance of refunding revenue bonds for the
11 combined purpose of:
12 (1) Paying the cost of any project of the authority.
13 (2) Refunding bonds or revenue bonds of the authority
14 which shall theretofore have been issued under the provisions
15 of this act and shall then be outstanding.

17 The issuance of such bonds, the maturities and other details
18 thereof, the right and remedies of the holders thereof, the
19 rights, powers, privileges, duties, and obligations of the
20 authority with respect to the same shall be governed by the
21 foregoing provisions of this act insofar as the same may be
22 applicable.
23 Section 11. Bonds to constitute legal
24 investments.--Any bonds issued pursuant to this act shall be
25 and constitute legal investments for banks, savings banks,
26 trustees, executors, administrators, and all other fiduciaries
27 for all state, municipal, and public funds and shall also be
28 and constitute securities eligible for deposit as security for
29 all state, municipal, or other public funds notwithstanding
30 the provisions of any other law or laws to the contrary.

1 Section 12. Remedies.--Any holder of bonds or other
2 obligations issued under the provisions of this act or any of
3 the coupons appertaining thereto and the trustee under any
4 trust agreement, except to the extent that the rights herein
5 given may be restricted by such trust agreement may either at
6 law or in equity, by suit, action, mandamus or other
7 proceedings, protect and enforce any and all rights under the
8 laws of Florida or granted hereunder or under such trust
9 agreement or the resolution authorizing the issuance of such
10 bonds or other obligations and may enforce and compel the
11 performance of all duties required by this act or by such
12 trust agreement or resolution to be performed by the board or
13 by any officer thereof.
14 Section 13. Exemption of property from taxation.--The
15 effectuation of the purposes of the board created under this
16 act is, shall and will be in all respects for the benefit of
17 the people of the state and of Bay County, for the increase of
18 their commerce and prosperity and for the improvement of their
19 health and welfare. The exercise of the powers by the board,
20 conferred by this act, to effect such purposes constitutes the
21 performance of essential functions and is hereby declared to
22 be a public purpose. As the facilities owned, operated,
23 supervised, and controlled by the authority and the board,
24 under the provisions of this act, constitute public property
25 and are used for public purposes, the board shall not be
26 required to pay any taxes or assessments upon any such
27 facilities or any parts thereof.
28 Section 14. Board of Directors accounting practices;
29 deposit of moneys of the board.--All moneys of the board,
30 whether derived from taxes or levied and collected within the
31 airport authority or from other sources, shall be paid into

1 the treasury of the board. Such moneys shall be used
2 exclusively by the board and shall be disbursed by the board
3 with approved budgetary practice and accounting methods and
4 only for the purposes specified in the budget of the board. No
5 funds or moneys shall be withdrawn from the treasury of the
6 board except in accordance with the budget and upon the
7 signature of either the chair or one of the members of the
8 board and either the airport manager or designated staff
9 member as authorized by the members of the board. The board
10 may require such officers or members of the board or employees
11 thereof to execute fidelity bonds in such sums as the board
12 may from time to time determine. The premiums on such bonds
13 shall be paid by the authority as a proper operating expense
14 thereof.
15 Section 15. Annual audit.--The books and records of
16 the board shall be audited annually by a certified public
17 accountant and copies of such audit submitted to the board and
18 the City Commission of the City of Panama City and the Board
19 of County Commissioners of Bay County.
20 Section 16. Awarding of contracts.--No contract shall
21 be let by the board for any construction, improvement, repair,
22 or building nor shall any goods, supplies, or materials for
23 airport authority purposes or uses be purchased when the
24 amount to be paid by the board shall exceed the amount
25 specified in s. 287.057, Florida Statutes, unless competitive
26 bids shall have been taken therefor and the contract awarded
27 to the lowest and best responsible bidder. The board may, in
28 its discretion, require the deposit of cash or a certified
29 check not to exceed 15 percent of the bid as evidence of good
30 faith on the part of bidders, such deposit to be returned when
31 the bid is rejected or contract performed. The right shall be

1 in the board to reject any and all bids and, where bids are
2 alike or similar, to make its own election as to which shall
3 be accepted or rejected. No goods, supplies, or materials
4 shall be purchased in separate lots or parcels so as to avoid
5 the securing of bids thereon. Any member, officer, or employee
6 violating this provision shall be personally liable to the
7 authority for the full price of any goods, supplies, or
8 materials so purchased. However, in the event of an emergency,
9 the board may take such action as is necessary to protect
10 airport properties.
11 Section 17. Purchases by board.--No member of the
12 board or other officer or employees shall purchase supplies,
13 goods, or materials for use by the airport authority from
14 himself or herself or from any firm or corporation in which he
15 or she is interested, directly or indirectly, nor in any
16 manner share in the proceeds of such purchase; the board shall
17 not be obligated for the purchase price for such supplies,
18 goods, or materials so purchased; no board member or other
19 officer or employee shall bid or enter into or be in any
20 manner interested, directly or indirectly, in any contract for
21 public work to which the airport may be a party. Any person
22 who violates the provisions hereof shall be deemed guilty of
23 malfeasance in office. All moneys or things of value paid and
24 delivered pursuant to such contract or purchase may be
25 recovered by the board and, in the event of its refusal by a
26 taxpayer for the use of the board, including costs, expenses,
27 and reasonable attorney's fees incurred in any proceeding for
28 the recovery thereof.
29 Section 18. Conflict of interest.--No board member or
30 other officer or employee shall act as a consultant to, be
31 employed by, or receive compensation in any manner, directly

1 or indirectly, from any vendor, tenant, or concessionaire of
2 the airport authority, nor shall board members or other
3 officers or employees conduct other than airport business
4 within the airport facility or on airport property. Any person
5 who violates the provisions hereof, shall be deemed guilty of
6 malfeasance in office.
7 Section 19. Additional general provisions; act
8 complete and additional authority.--The powers conferred by
9 this act shall be in addition and supplemental to the existing
10 powers of the board as herein provided. Chapter 67-1099, Laws
11 of Florida, and chapter 69-834, Laws of Florida, are hereby
12 repealed.
13 Section 3. If any section, clause, or provision of
14 this act shall be held unconstitutional or ineffective in
15 whole or in part to the extent that it is not unconstitutional
16 or ineffective, it shall be valid and effective and no other
17 section, clause, or provision shall on account thereof be
18 deemed invalid or ineffective.
19 Section 4. This act shall take effect upon becoming a
20 law.
