18         (12)  Any dealer registered under the Securities and

19  Exchange Act of 1934, as amended, or any federally insured

20  depository institution and any parent, subsidiary, or

21  affiliate thereof, in connection with the sale, exchange,

22  purchase, or rental of a business enterprise to or by a person

23  who is an accredited investor as defined by 15 U.S.C. s. 77b,

24  the Securities Act of 1933, or any regulation adopted

25  thereunder. This exemption applies whether stock or assets of

26  the business enterprise are purchased or sold. The exemption

27  does not apply to a sale, exchange, purchase, or rental of

28  land, buildings, fixtures or other improvements to the land

29  which is not made in connection with the sale, exchange,

30  purchase, or rental of a business enterprise. Any reference to

31  rental in this subsection includes a lease transaction.
