17 Section 7. Section 240.2012, Florida Statutes, is
18 created to read:
19 240.2012 Establishment and organization of university
20 boards of trustees.--
21 (1) Each university in the State University System
22 authorized by law is an independent, separate legal entity.
23 The operation of each university in the State University
24 System, unless otherwise provided by law, shall be governed by
25 a board of trustees.
26 (2) A university board of trustees shall consist of
27 nine members. The Governor shall appoint eight members of the
28 board of trustees, and the student body president of the
29 university shall serve ex officio as a voting member of the
30 board of trustees. Except for the boards of trustees of the
31 University of Florida, Florida State University, and Florida

Amendment No.
1 Agricultural and Mechanical University, the majority of
2 members of a university board of trustees must reside within
3 the service area of the university.
4 (3) Except for the student body president, trustees
5 shall be subject to confirmation by the Senate in regular
6 session.
7 (4) Members of the board of trustees may receive
8 reimbursement for expenses as provided in s. 112.061,
9 including mileage to and from official board meetings, and may
10 receive such compensation as is provided by law.
11 (5) At its first regular meeting after July 1 of each
12 year, each board of trustees shall organize by electing a
13 chair, whose duty as such is to preside at all meetings of the
14 board, to call special meetings thereof, and to attest to
15 actions of the board, and a vice chair, whose duty as such is
16 to act as chair during the absence or disability of the
17 elected chair. The chair of each board of trustees shall
18 notify the Governor, in writing, whenever a board member fails
19 to attend three consecutive regular board meetings in any one
20 fiscal year, which absences may be grounds for removal.
21 (6) A university president shall be the executive
22 officer and corporate secretary of the board of trustees as
23 well as the chief administrative officer of the university,
24 and all the components of the institution and all aspects of
25 its operation are responsible to the board of trustees through
26 the president.
27 (7) The board of trustees shall have the power to take
28 action without a recommendation from the president and shall
29 have the power to require the president to deliver to the
30 board all data and information required by the board in the
31 performance of its duties.
