14 On page 4, line 18, through page 5, line 23,
15 remove from the bill: all of said lines,

17 and insert in lieu thereof: Graduates is created as a
18 direct-support organization of the Department of Education to
19 encourage public and private support to enhance school-to-work
20 transition. As a direct-support organization, the foundation
21 shall operate under contract with the department and shall be:
22 1. A Florida corporation not for profit which is
23 incorporated under the provisions of chapter 617 and approved
24 by the Department of State.
25 2. Organized and operated exclusively to do the
26 following: raise funds; submit requests and receive grants
27 from the Federal Government, the state, private foundations,
28 and individuals; receive, hold, and administer property; and
29 make expenditures to or for the benefit of school-to-work
30 transition programs approved by the board of directors of the
31 foundation.

1 (b) As a direct-support organization, The foundation
2 shall:
3 1. Develop articles of incorporation.
4 2. Create a board of directors appointed by the
5 Commissioner of Education.
6 3. Perform an annual financial and performance review
7 to determine if the foundation is operating in a manner
8 consistent with the goals of the Legislature in providing
9 assistance for school-to-work transitions.
10 4. Provide a mechanism for the reversion to the state
11 of moneys in the foundation and in any other funds and
12 accounts held in trust by the foundation if the foundation is
13 dissolved.
14 (6)(7) BOARD OF DIRECTORS.--The foundation shall be
15 administered by a board of directors, as follows:
16 (a) The board shall consist of at least 15 members of
17 which. At least 9 of the 15 members must be from the private
18 sector, and the remaining members may be from the public
19 sector. Among the public sector members, representation shall
20 come from secondary education, vocational education, and
21 job-training programs such as Job Education Partnership. The
