| 4 | Remove lines 248-275 and insert: |
| 5 | (5) The Governor shall appoint the initial chair from |
| 6 | among the full membership of the board immediately upon their |
| 7 | appointment. In no case may those appointments be made any later |
| 8 | than 45 days following the creation of the authority. The chair |
| 9 | will hold this position for a minimum term of 2 years. The board |
| 10 | shall elect a vice chair and secretary-treasurer from among its |
| 11 | members who shall serve a minimum term of 1 year and shall |
| 12 | establish the duties and powers of those positions during its |
| 13 | inaugural meeting. During its inaugural meeting, the board will |
| 14 | also establish its rules of conduct and meeting procedures. |
| 15 | (6) At the end of the initial chair's term, the board |
| 16 | shall elect a chair from among its members. The chair shall hold |
| 17 | office at the will of the board. In that election, the board |
| 18 | shall also elect from its members a vice chair and secretary- |
| 19 | treasurer. |
| 20 | (7) The first meeting of the authority shall be held no |
| 21 | later than 60 days after the creation of the authority. |
| 22 | (8) Eight members of the board shall constitute a quorum, |
| 23 | and the vote of eight members is necessary for any action to be |
| 24 | taken by the authority. The authority may meet upon the |
| 25 | constitution of a quorum. A vacancy does not impair the right of |
| 26 | a quorum of the board to exercise all rights and the ability to |
| 27 | perform all duties of the authority. |
