A bill to be entitled
2An act relating to Panama City-Bay County Airport and
3Industrial District; amending chapter 2005-311, Laws of
4Florida; revising definitions; adding one member to the
5district governing board who will represent Walton County
6and be appointed by the Walton County Commission;
7providing the term for such member; adding two board
8members who will represent Panama City Beach and be
9appointed by the Panama City Beach City Council; providing
10terms for such members; providing for subsequent
11appointment procedures for such members; revising the
12quorum requirement; providing that indebtedness of the
13district for bonds issued shall not be considered a debt
14of a city or county; providing that issuance of revenue
15bonds by the district shall not obligate a city or county
16to levy any ad valorem taxes or to make any appropriations
17for their payment or for the operation and maintenance of
18the facilities of the district; providing an effective
19date.

21Be It Enacted by the Legislature of the State of Florida:
22
23     Section 1.  Subsections (2) and (3) of section 2, present
24subsections (2) and (3) of section 3, subsection (4) of section
255, and section 9 of section 3 of chapter 2005-311, Laws of
26Florida, are amended, and a new subsection (2) is added to
27section 3 of that section, to read:
28     Section 2.  Definitions.-As used in this act, the following
29words and terms shall have the following meanings:
30     (2)  "City" means the City of Panama City and the City of
31Panama City Beach.
32     (3)  "County" means the County of Bay and the County of
33Walton.
34     Section 3.  Governing board.-The Board of Directors, a body
35corporate and politic, shall be the governing board of the
36Panama City-Bay County Airport and Industrial District.
37     (2)  Effective July 1, 2010, the board shall consist of
38seven persons, six of whom are citizens and residents of Bay
39County and one of whom is a citizen and resident of Walton
40County. Initially, seat 6 shall be appointed by the City Council
41of Panama City Beach for a term beginning on July 1, 2010.
42Initially, seat 7 shall be appointed by the Board of County
43Commissioners of Walton County for a term beginning on July 1,
442010. By July 31, 2010, the board shall hold a drawing to
45determine the initial terms for seats 6 and 7, one of which
46shall be for a 2-year term and one of which shall be for a 4-
47year term. Upon the expiration of the current term of seat 5,
48the City Council of Panama City Beach shall appoint a member for
49a 4-year term. Upon the expiration of the terms of the members,
50the Board of County Commissioners of Bay County, the Board of
51County Commissioners of Walton County, the City Commission of
52Panama City, and the City Council of Panama City Beach shall
53each appoint successors for their members whose terms are
54expiring, each to hold office for a term of 4 years. The terms
55of seats 6 and 7 shall begin on July 1 and expire on June 30.
56Board members occupying seats 6 and 7 shall be limited to
57serving two terms on the board.
58     (3)(2)  Four Three members of the board shall constitute a
59quorum. The vote of four three members shall be necessary for
60any action taken by the board involving the incurring of any
61indebtedness or expenditures of district funds or moneys.
62     (4)(3)  The members of the board shall not receive
63compensation for their services, but shall be reimbursed for
64travel and per diem as public officials pursuant to chapter 112,
65Florida Statutes; however, members of the board must submit a
66signed statement requesting the allowable expenses within 6
67months after the date of incurring such expenses.
68     Section 5.  Powers of the Board of Directors.-The Board of
69Directors shall have all of the power necessary and proper to
70carry out the purposes and intent of this act, including the
71power to sue and be sued, under the name of the "Panama City-Bay
72County Airport and Industrial District"; to contract and be
73contracted with; to adopt and use a common seal and to alter
74same; to acquire, purchase, hold, lease, mortgage, and convey
75such real and personal property as the board may deem proper or
76expedient to carry out the purposes of this act; to employ such
77persons and agents as the board may deem advisable and to fix
78the compensation thereof and to remove any appointees or
79employees, agents, or servants; to insure the improvements,
80fixtures, and equipment against loss by fire, windstorm, or
81other coverage in such amounts as may be determined reasonable
82and proper; and to borrow and issue evidence of indebtedness of
83the district to carry out the provisions of this act in the
84manner herein provided. The board shall also have the right and
85power:
86     (4)  To borrow money, incur indebtedness, and issue such
87bonds for and on behalf of the airport district as the board may
88from time to time determine; but in no case shall the
89indebtedness of the district for bonds issued be considered a
90debt of Panama City, Panama City Beach, Bay County, or Walton
91the city or the County.
92     Section 9.  Revenue bonds.-Revenue bonds of the district
93may be issued under the provisions of this act and shall be
94payable from the revenues derived from the operation of any
95facility or combination of facilities of the district under the
96supervision, operation, and control of the district and from any
97other funds legally available therefor, except ad valorem taxes
98of the district. The issuance of such revenue bonds shall not
99directly, indirectly, or contingently obligate the state, the
100district, Panama City, Panama City Beach, Bay County, or Walton
101the city, or the County to levy any ad valorem taxes or to make
102any appropriations for their payment or for the operation and
103maintenance of the facilities of the district.
104     Section 2.  This act shall take effect upon becoming a law.
