The Committee on Judiciary (Bradley) recommended the following:
1 Senate Amendment (with title amendment)

3 Delete everything after the enacting clause
4 and insert:
5 Section 1. This act may be cited as the “Combating
6 Corporate Espionage in Florida Act.”
7 Section 2. Section 812.081, Florida Statutes, is amended to
8 read:
9 812.081 Theft of or trafficking in trade secrets; theft,
10 embezzlement; unlawful copying; definitions; penalties;
11 providing to foreign entities; restitution penalty.—
12 (1) As used in this section, the term:
13 (a) “Endeavor” means to attempt or to try.
14 (b) “Foreign agent” means any officer, employee, proxy,
15 servant, delegate, or representative of a foreign government.
16 (c) “Foreign instrumentality” means any agency, bureau,
17 ministry, component, institution, association, or any legal,
18 commercial, or business organization, corporation, firm, or
19 entity that is substantially owned, controlled, sponsored,
20 commanded, managed, or dominated by a foreign government.
21 (d) “Obtain or use” has the same meaning as provided in s.
22 812.012(3).
23 (e) “Person” means a natural person, corporation, business
24 trust, estate, trust, partnership, association, joint venture,
25 government, governmental subdivision or agency, or any other
26 legal or commercial entity.
27 (a) “Article” means any object, device, machine, material,
28 substance, or composition of matter, or any mixture or copy
29 thereof, whether in whole or in part, including any complete or
30 partial writing, record, recording, drawing, sample, specimen,
31 prototype model, photograph, microorganism, blueprint, map, or
32 copy thereof.
33 (b) “Representing” means completely or partially
34 describing, depicting, embodying, containing, constituting,
35 reflecting, or recording.
36 (f)(c) “Trade secret” means the whole or any portion or
37 phase of any formula, pattern, device, combination of devices,
38 or compilation of information which is for use, or is used, in
39 the operation of a business and which provides the business an
40 advantage, or an opportunity to obtain an advantage, over those
41 who do not know or use it. The term includes any scientific,
42 technical, or commercial information, including financial
43 information, and includes any design, process, procedure, list
44 of suppliers, list of customers, business code, or improvement
45 thereof, whether tangible or intangible, and regardless of
46 whether or how it is stored, compiled, or memorialized
47 physically, electronically, graphically, photographically, or in
48 writing. Irrespective of novelty, invention, patentability, the
49 state of the prior art, and the level of skill in the business,
50 art, or field to which the subject matter pertains, a trade
51 secret is considered to be:
52 1. Secret;
53 2. Of value;
54 3. For use or in use by the business; and
55 4. Of advantage to the business, or providing an
56 opportunity to obtain an advantage, over those who do not know
57 or use it

59 when the owner thereof takes measures to prevent it from
60 becoming available to persons other than those selected by the
61 owner to have access thereto for limited purposes.
62 (g) “Traffic” has the same meaning as provided in s.
63 812.012(8).
64 (d) “Copy” means any facsimile, replica, photograph, or
65 other reproduction in whole or in part of an article and any
66 note, drawing, or sketch made of or from an article or part or
67 portion thereof.
68 (2) It is unlawful for a Any person to willfully and
69 without authorization obtain or use, or to endeavor to obtain or
70 use, a trade secret who, with the intent to either temporarily
71 or permanently:
72 (a) Deprive or withhold from the owner thereof the control
73 or benefit of a trade secret;, or with an intent to
74 (b) Appropriate a trade secret to his or her own use or to
75 the use of another person not entitled to the trade secret.,
76 steals or embezzles an article representing a trade secret or
77 without authority makes or causes to be made a copy of an
78 article representing a trade secret

80 A person who violates this subsection commits theft of a trade
81 secret, a felony of the third degree, punishable as provided in
82 s. 775.082, or s. 775.083, or s. 775.084.
83 (3) A person who traffics in, or endeavors to traffic in, a
84 trade secret that he or she knows or should know was obtained or
85 used without authorization commits trafficking in trade secrets,
86 a felony of the second degree, punishable as provided in s.
87 775.082, s. 775.083, or s. 775.084.
88 (4) Whenever a person is charged with a violation of this
89 section which was committed with the intent to benefit a foreign
90 government, a foreign agent, or a foreign instrumentality, the
91 offense for which the person is charged shall be reclassified as
92 follows:
93 (a) In the case of theft of a trade secret, from a felony
94 of the third degree to felony of the second degree.
95 (b) In the case of trafficking in trade secrets, from a
96 felony of the second degree to a felony of the first degree.

98 For purposes of sentencing under chapter 921 and determining
99 incentive gain-time eligibility under chapter 944, a felony
100 offense that is reclassified under this subsection is ranked one
101 level above the ranking under s. 921.0022 of the offense
102 committed.
103 (5) A court shall order a person convicted of violating
104 this section to pay restitution, which shall include the value
105 of the benefit derived from the offense, including any expenses
106 for research and design and other costs of reproducing the trade
107 secret that the person has avoided by committing the offense.
108 (6) In a prosecution for a violation of this section, the
109 fact that the person so charged returned or intended to return
110 the unlawfully obtained or used trade secret article so stolen,
111 embezzled, or copied is not a defense.
112 (7) A person who owns a trade secret that is unlawfully
113 obtained or used may bring a civil action to enjoin the
114 continued improper use of such trade secret, and a court may
115 require affirmative actions to protect the trade secret. When
116 exceptional circumstances render an injunction inequitable, the
117 court may condition future use of the trade secret on the
118 payment of a reasonable royalty for no longer than the period of
119 time for which such use could have been prohibited.
120 (8) A person may not be held criminally or civilly liable
121 under this section for the disclosure of a trade secret when
122 such disclosure is:
123 (a) Made confidentially to an attorney, a law enforcement
124 officer, or any other federal, state, or local government
125 official for the purpose of reporting or investigating a
126 suspected violation of law; or
127 (b) Made in a complaint or other document filed under seal
128 in a lawsuit or other proceeding.
129 Section 3. Paragraphs (a), (c), and (e) of subsection (3)
