The Committee on Education Postsecondary (Gaetz) recommended the
following:
1 Senate Amendment (with title amendment)

3 Delete everything after the enacting clause
4 and insert:
5 Section 1. Paragraph (b) of subsection (1) and subsections
6 (4) and (9) of section 1004.447, Florida Statutes, are amended
7 to read:
8 1004.447 Florida Institute for Human and Machine Cognition,
9 Inc.—
10 (1)
11 (b) The corporation is authorized to create not-for-profit
12 corporate subsidiaries that are organized under the provisions
13 of chapter 617 upon the prior approval of its board of directors
14 the Board of Governors, as necessary, to fulfill its mission.
15 (4) The articles of incorporation of the corporation or any
16 authorized and approved subsidiary must be approved in a written
17 agreement by the Board of Governors. The agreement and the
18 articles of incorporation must shall:
19 (a) Provide that the corporation and any authorized and
20 approved subsidiary shall provide equal employment opportunities
21 for all persons regardless of race, color, religion, gender,
22 national origin, age, handicap, or marital status.
23 (b) Provide that the corporation and any authorized and
24 approved subsidiary are subject to the public records and
25 meeting requirements of s. 24, Art. I of the State Constitution.
26 (c) Provide that all officers, directors, and employees of
27 the corporation and any authorized and approved subsidiary shall
28 be governed by the code of ethics for public officers and
29 employees as set forth in part III of chapter 112.
30 (d) Provide that members of the board of directors of the
31 corporation are responsible for the prudent use of all public
32 and private funds and that they will ensure that the use of
33 funds is in accordance with all applicable laws, bylaws, and
34 contractual requirements.
35 (e) Provide that the fiscal year of the corporation and any
36 authorized and approved subsidiary is from July 1 to June 30.
37 (9) The corporation Board of Trustees of the University of
38 West Florida shall annually certify to the Governor, the
39 President of the Senate, the Speaker of the House of
40 Representatives, and the Board of Governors that the corporation
41 and its authorized subsidiaries are complying with the
42 requirements of this section and are acting in the best
43 interests of the state.
44 Section 2. Section 1004.4471, Florida Statutes, is amended
45 to read:

47 Cognition; affiliation with other universities.—The corporation
48 created pursuant to s. 1004.447(1) and any authorized and
49 approved subsidiary of the corporation may enter into
50 affiliation agreements similar to the agreement described in s.
51 1004.447(6) with the boards of trustees of other public or
52 private universities.
53 Section 3. This act shall take effect July 1, 2025.

60 An act relating to the Florida Institute for Human and
61 Machine Cognition, Inc.; amending s. 1004.447, F.S.;
62 requiring the board of directors of the Florida
63 Institute for Human and Machine Cognition, Inc.,
64 rather than the Board of Governors, to authorize the
65 creation of a subsidiary of the corporation; requiring
66 that the articles of incorporation of the corporation,
67 rather than of the corporation and any authorized and
68 approved subsidiary, be approved in a written
69 agreement by the Board of Governors; requiring the
70 corporation, rather than the Board of Trustees of the
71 University of West Florida, to certify specified
72 information annually to the Governor and Legislature;
73 amending s. 1004.4471, F.S.; authorizing subsidiaries
74 of the corporation to enter into certain affiliation
75 agreements; providing an effective date.
