CS/CS/CS/SB 554: Limited Liability Companies
GENERAL BILL by Rules ; Judiciary ; Commerce and Tourism ; Simmons
Limited Liability Companies; Specifying that persons who are not members of a limited liability company are not deemed to have notice of a provision of the company’s articles of organization which limits a person’s authority to transfer real property held in the company’s name unless such limitation appears in an affidavit, certificate, or other instrument that is recorded in a specified manner; removing the prohibition that an operating agreement may not vary the power of a person to dissociate, etc.
Effective Date: Except as otherwise expressly provided in this act and except for this section, which shall take effect upon this act becoming a law, this act shall take effect July 1, 2015
