GENERAL BILL by Clemens

Corporations; Providing that the amendment of articles of incorporation or the merger, conversion, or share exchange of a social purpose or benefit corporation entitles the shareholders to appraisal rights; establishing requirements for the formation of a social purpose corporation; providing procedures for an existing corporation to become a social purpose corporation; requiring that the corporate purpose must be to create a public benefit; authorizing certain legal actions to be brought against a social purpose corporation, its officers, or its directors, etc.
